Younbla Terms of Use
These Terms of Use (the “Terms”) govern your access to and use of Younbla’s official website (Younbla.com) (the “Platform”), including all content, features, and services offered on or through the Platform (e.g., product browsing, account creation, order placement, and access to fitness-related resources). By accessing or using the Platform, you (the “User”) agree to be bound by these Terms, as well as our Privacy Policy, Terms of Purchase, and any other policies referenced herein. If you do not agree to these Terms, you may not access or use the Platform.
1. Eligibility to Use the Platform
To use the Platform, you must:
- Be at least 13 years of age (or the age of majority in your jurisdiction, whichever is older). If you are under the age of majority, you may use the Platform only with the consent and supervision of a parent or legal guardian, who will be responsible for your compliance with these Terms.
- Have the legal capacity to enter into a binding agreement (i.e., not be a minor without guardian consent, or under a legal disability that prevents you from forming contracts).
- Provide accurate, complete, and current information when creating an account or using the Platform (see Section 2 for account requirements).
We reserve the right to deny access to the Platform to any User who fails to meet these eligibility requirements, or who violates these Terms.
2. User Accounts
2.1 Account Creation
To access certain features of the Platform (e.g., placing orders, saving favorite products, tracking order history), you may need to create a User account. When creating an account, you agree to:
- Use a valid email address that you own or control.
- Choose a secure password and keep it confidential (do not share your password with third parties).
- Provide true, accurate, and complete information (e.g., full name, shipping address, contact details) and update this information promptly if it changes.
2.2 Account Responsibility
You are solely responsible for all activities that occur under your account, including any orders placed, content posted, or actions taken by someone using your account (whether with or without your permission). We are not liable for any loss or damage caused by unauthorized use of your account, unless such use is due to our negligence.
2.3 Account Termination
We may suspend or terminate your account at any time, with or without notice, if:
- You violate any provision of these Terms.
- You provide false, inaccurate, or incomplete information.
- Your account is inactive for 12 consecutive months (we will notify you via email 30 days before termination to allow you to reactivate it).
You may also delete your account at any time by logging into your account, navigating to “Account Settings,” and selecting “Delete Account.” Please note that deleting your account will permanently remove your order history, saved favorites, and personal information (subject to our Privacy Policy’s data retention requirements).
3. Use of the Platform
3.1 Permitted Uses
You may use the Platform only for lawful purposes and in accordance with these Terms. Permitted uses include:
- Browsing product listings, reading product descriptions, and viewing fitness-related content (e.g., workout tips, apparel care guides).
- Creating an account to place orders, track shipments, and manage returns (in compliance with our Terms of Purchase).
- Saving favorite products to your account for future reference.
- Submitting feedback, reviews, or questions about our products or services (in compliance with Section 4).
3.2 Prohibited Uses
You may not use the Platform for any of the following activities, and we reserve the right to take action (including account termination or legal action) if you engage in these behaviors:
- Violating any applicable laws, regulations, or third-party rights (e.g., copyright, trademark, privacy laws).
- Accessing or attempting to access restricted areas of the Platform (e.g., our internal databases, admin portals) without authorization.
- Using automated tools (e.g., bots, crawlers, scrapers) to collect, extract, or copy content from the Platform (unless we have given you prior written permission).
- Uploading, posting, or transmitting any content that is harmful, offensive, or inappropriate (e.g., violence, hate speech, discrimination, spam, malware, or false information).
- Impersonating Younbla, our employees, or other Users (e.g., creating a fake account to mislead others).
- Interfering with the operation of the Platform (e.g., disrupting server functionality, overloading the site with excessive requests).
- Using the Platform to promote or sell third-party products or services, or to engage in fraudulent activities (e.g., phishing, identity theft, or placing fake orders).
4. User-Generated Content
4.1 Submission of Content
The Platform may allow you to submit user-generated content (UGC), such as product reviews, photos of you wearing Younbla apparel, or comments on fitness-related posts (collectively, “UGC”). By submitting UGC, you agree to:
- Own or have the necessary rights (e.g., copyright, permission from others in the content) to submit the UGC and grant us the license described in Section 4.2.
- Ensure the UGC does not violate any laws, regulations, or third-party rights (e.g., no unauthorized use of others’ images, no defamatory statements).
- Ensure the UGC is truthful, accurate, and relevant to the Platform (e.g., product reviews must relate to your actual experience with the apparel).
4.2 License to UGC
By submitting UGC to the Platform, you grant Younbla a non-exclusive, worldwide, royalty-free, perpetual, and transferable license to use, reproduce, modify, display, distribute, and promote the UGC for any lawful business purpose (e.g., featuring your review on a product page, sharing your fitness photo on our social media, or using your feedback to improve our products). You retain ownership of your UGC, but you acknowledge that we may use it as described without additional compensation to you.
4.3 Moderation of UGC
We reserve the right to review, moderate, or remove any UGC at our discretion, without notice, if it violates these Terms or is otherwise inappropriate. We do not endorse or take responsibility for the accuracy, quality, or legality of any UGC submitted by Users.
5. Intellectual Property Rights
5.1 Younbla’s Intellectual Property
All content on the Platform—including but not limited to product images, logos, brand names (“Younbla”), slogans, text descriptions, fitness guides, and software—is the intellectual property of Younbla or our licensors (e.g., photographers, content creators). This content is protected by copyright, trademark, and other intellectual property laws worldwide.
You may not copy, reproduce, modify, distribute, sell, or license any of Younbla’s intellectual property without our prior written permission. For example, you may not use our logo on your personal website, or sell printed copies of our fitness guides, unless we have authorized you to do so.
5.2 Third-Party Intellectual Property
The Platform may contain links to third-party websites, products, or services (e.g., fitness blogs, payment processors like PayPal). These third parties own the intellectual property rights to their own content, and we do not endorse or control their use. You must comply with the terms of use of these third-party platforms when accessing them through our site.
6. Platform Availability & Modifications
6.1 Availability
We strive to keep the Platform available 24/7, but we do not guarantee that the Platform will be error-free, uninterrupted, or accessible at all times. We may need to temporarily take the Platform offline for maintenance, updates, or repairs (we will notify Users of scheduled downtime via email or a pop-up notice on the site whenever possible).
We are not liable for any loss or damage caused by the unavailability of the Platform, including but not limited to missed orders or delayed access to content.
6.2 Modifications to the Platform
We reserve the right to modify, update, or discontinue any feature, content, or service on the Platform at any time, with or without notice. For example, we may add new fitness resources, change the layout of the product page, or discontinue a feature that is no longer used by most Users. These changes will not affect your rights under these Terms unless we explicitly update the Terms (see Section 9).
7. Privacy & Data Protection
Your use of the Platform is subject to our Privacy Policy, which explains how we collect, use, store, and protect your personal information (e.g., your name, email address, shipping details, and browsing data). By using the Platform, you consent to the collection and use of your data as described in the Privacy Policy.
We may update our Privacy Policy from time to time, and we will notify you of material changes via email or a pop-up notice on the Platform. Your continued use of the Platform after these changes take effect constitutes acceptance of the revised Privacy Policy.
8. Limitation of Liability
8.1 Disclaimers
The Platform and all content, products, and services offered on it are provided “as is” and “as available,” without any warranties of any kind (express or implied). We disclaim all warranties, including but not limited to:
- Warranties of merchantability (e.g., that products will meet your expectations or be fit for a particular purpose).
- Warranties of accuracy (e.g., that product descriptions or fitness content are error-free).
- Warranties of non-infringement (e.g., that the Platform will not violate third-party rights).
We do not guarantee that the Platform will be secure, free of viruses or malware, or that your use of the Platform will be uninterrupted.
8.2 Limitation of Liability
To the maximum extent permitted by applicable law, Younbla shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. This includes, but is not limited to:
- Loss of profits, revenue, or data.
- Damage to your device (e.g., from malware on the Platform).
- Inconvenience caused by platform downtime or errors.
- Claims related to user-generated content (e.g., harm caused by a false product review).
Our total liability to you for any claim related to the Platform shall not exceed $100. This limitation of liability applies regardless of the legal theory (e.g., contract, tort, negligence) and even if we have been advised of the possibility of such damages.
9. Changes to These Terms
We reserve the right to update or modify these Terms at any time. When we do so, we will post the revised Terms on the Platform and update the “Last Updated” date at the bottom of this page. For material changes (e.g., updates to account termination rules, prohibited uses, or liability limitations), we will also notify registered Users via email or a pop-up notice on the Platform at least 7 days before the changes take effect.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform.
10. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall first be resolved through good-faith negotiation between you and Younbla. If negotiation does not resolve the dispute within 30 days, the dispute shall be submitted to binding arbitration in New York, New York, in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator, and the decision of the arbitrator shall be final and binding on both parties.
You and Younbla agree to waive any right to a jury trial in connection with any dispute arising under these Terms.
